Who you are

  • Strong knowledge of SaaS (Software as a Service) agreements (both in a vendor and buyer role), data and privacy laws required
  • Experience with implementation and/or operation of a contract management system

What the job involves

  • Project44 is seeking a commercial attorney to join our global legal team
  • This role will provide critical legal support and guidance on all commercial engagements with a focus on supporting the legal aspects of the entire contract lifecycle, including data, privacy and general commercial engagements
  • This position will also work collaboratively with the other legal team members on various matters including general corporate issues, compliance and risk management, tax and governance
  • Provide legal support for project44’s commercial agreements and relationships. This will include reviewing, drafting and managing SaaS/cloud agreements, strategic partnership agreements, services agreements, terms of service, statements of work, end-user agreements, data processing agreements, order forms and vendor and procurement agreements
  • This support will range from basic support using standard terms and conditions to complicated engagements with significant international counterparties
  • Support company’s procurement function with legal review of all vendor agreements
  • Develop, recommend and update standard/recommended legal language for internal client use
  • Negotiate effectively and constructively with internal partners, external clients and other third parties
  • Provide practical and understandable analysis and counsel on various legal issues and agreements including commercial transactions, data, privacy and intellectual property
