Role

Who you are

  • You are a member of the bar in at least one U.S. State, and have been negotiating technology transactions extensively for at least 3 years, preferably in-house at a B2B tech company, with a focus on SaaS or Software Licensing, ideally on sell-side transactions
  • You communicate well with non-lawyers (especially with professional services, security, finance, and order operations teams) and are used to employees of all levels coming to you for advice
  • You have the ability to work independently and take ownership of multiple demanding projects. Procrastination is uncomfortable for you! Coworkers would describe you as someone who is responsive, willing to jump in and support other team members
  • You have strong communication skills (verbal and written) and outstanding attention to detail
  • You enjoy redlining and negotiating, identifying risk and explaining that risk to the client and internal stakeholders. You’re comfortable explaining in simple terms, whether it be in comments in a document or on a conference call, why you’re making certain changes, so that it’s understandable (and hopefully agreeable) by all. You excel at influencing others using reasonableness and the law
  • You understand that learning the business, its products, and risks involved are imperative to being successful in this role, and you seek out opportunities to gain a better understanding of our products. You’re not afraid to ask “stupid” questions, introduce yourself and learn from engineers and product teams, and maintain strong relationships with these teams
  • You enjoy training and empowering others with knowledge. You enjoy creating self-service tools (e.g. intranet pages) for coworkers to reference
  • You have worked closely with sales teams in the past - you have a passion for ensuring the success of the sales organization and profitable achievement of the company’s sales goals
  • Bonus points if you’re familiar with Slack, Salesforce, Ironclad, and/or Notion, and you have an interest in open source software, privacy laws, and/or AI Terms

What the job involves

  • As a Commercial Counsel reporting to the Associate General Counsel - Commercial, you will be helping us meet growing business demands and continue to provide excellent contractual support to our sales team as well as the partnership and procurement teams
  • Draft, review and negotiate contracts and other legal documents, including SaaS agreements, DPAs, NDAs, Security Addenda, Referral/Reseller/Partnership Agreements and Vendor contracts, as well as assist with responding to client due diligence questionnaires and RFP responses (NOTE: the interview process will include a mock redline project)
  • Collaborate with internal business clients and cross functional stakeholders, including Sales, Support, Professional Services, Security, Finance, People Team, and OrderOps
  • Handle and advise the business on day to day contractual queries
  • Work asynchronously as part of a fully-remote, distributed team

Our take

In 2018, dbt Labs founder Tristan Handy was running an analytics company and created a data build tool (or ‘dbt’) to help transform data for analysis. Fast forward one year and dbt Labs was born, offering its tools to help companies everywhere transform their data workflows.

Raw data comes in myriad forms and dbt Labs’ software allows data specialists to manage the data transformation layer making its use for analysis much easier. It offers consulting services on top of the software, and has ridden a wave of companies embracing digital transformation more as their services and workplaces become more online.

Seen as the defacto standard for modern analytics engineering by many, it reached unicorn status within 2 years of launch and is focusing future efforts on expanding reach more markets outside of the US. Its recent acquisition of Transform, an analytics engineering company, will aid in further developing its product's data transformation capabilities.
