- JD degree from an accredited law school
- Membership in a state bar association (California preferred)
- Significant experience as a corporate attorney, including demonstrated expertise in advising publicly traded companies on SEC filings and other corporate disclosures, corporate governance, equity management and securities law compliance matters
- Strong securities and corporate law background, including detailed knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and corporate governance principles for publicly traded companies
- Strong knowledge of corporate law principles, regulations, and best practices
- Proficiency in conducting legal research
- Excellent legal drafting and research skills with strong attention to detail and accuracy
- Excellent verbal, written, and interpersonal communication skills including the ability to effectively communicate complex legal concepts to non-legal stakeholders
- Experience in negotiating and drafting financing and other contracts
- Biopharma, medical device or diagnostics industry experience preferred
- Ability to work effectively in a fast-paced start-up with a high degree of collaboration
What the job involves
- We are seeking a highly skilled and experienced Corporate Attorney to join our legal team
- You will be responsible for providing legal advice and guidance on various corporate matters
- Conduct legal research and analysis on various corporate issues
- Provide legal advice and guidance on securities law, equity management, contracts, compliance, and other legal matters
- Handle various corporate governance activities, those related to the company's insider trading policy and procedures
- Draft and review legal documents, including contracts, agreements, and policies
- Represent the company in negotiations and other legal matters
- Collaborate with internal stakeholders to ensure compliance with applicable laws and regulations
- Stay updated on changes in laws and regulations that may impact the company's operations
- Assist in the development and implementation of corporate policies and procedures
Our take
Ceribell has created a cloud-based, AI-enabled electroencephalography (EEG) headset which helps diagnose seizures without the presence of an EEG technologist or specialist interpreter, allowing for faster diagnosis and better treatment.
Though founded back in 2014, Ceribell experienced a huge breakthrough in 2022 when its system was granted FDA clearance to help diagnose suspected seizures, which has led to a boost in venture capital investment.
The company has also gone on to receive the FDA’s Breakthrough Device Designation for its ability to diagnose delirium, or acute brain failure. Ceribell has no plans on stopping there though, and intends to grow its team rapidly in a bid to expand its tech capabilities for a range of other neurological conditions.
